By accessing or using the ResonTech platform, website at reson.tech, or any associated services (collectively, the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Service.

The Service is operated by Reson Tech LLC, a Delaware Limited Liability Company organized on February 2, 2026, with filing number 10495328 and EIN 41-4183289, with its registered address at 8 The Green Ste B, Dover, DE 19901 ("Company", "we", "us", or "our").

ResonTech provides GPU Training-as-a-Service ("TaaS") — a managed, distributed AI model training platform. Our Service allows customers to submit machine learning training workloads and receive trained model artifacts, without managing any infrastructure, servers, CUDA configurations, or GPU clusters. We handle provisioning, scheduling, fault recovery, and artifact delivery automatically.

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is not available to persons previously banned or removed from the platform.

Access to the Service may require creating an account. You agree to provide accurate, current, and complete information during registration and to keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately at office@reson.tech if you suspect unauthorized access.

You agree not to use the Service to:

• Train models intended to generate illegal, harmful, or malicious content
• Violate any applicable law or regulation, including export control laws
• Attempt to reverse-engineer, interfere with, or disrupt the platform infrastructure
• Upload or process data you do not own or have rights to use
• Resell or sublicense access to the Service without prior written consent
• Conduct unauthorized penetration testing or security scans on our systems

We reserve the right to suspend or terminate accounts found in violation of this section without notice.

You retain full ownership of all training data, model code, configurations, and output artifacts you submit to or receive from the Service. By using the Service, you grant Reson Tech LLC a limited, non-exclusive, royalty-free license to process your data solely for the purpose of executing your training jobs and delivering results.

We do not claim any intellectual property rights over your models or data.

Pricing is determined by compute usage (GPU-hours), data transfer, and any applicable service tiers. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice. Unpaid invoices may result in service suspension.

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance, force majeure events, or upstream infrastructure issues may cause downtime. We will make reasonable efforts to notify users of planned outages in advance. No credits or refunds are issued for downtime unless covered by a separate Service Level Agreement.

To the maximum extent permitted by law, Reson Tech LLC and its members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, lost profits, or business interruption, arising out of your use of or inability to use the Service.

Our total liability to you for any claim shall not exceed the amount you paid to us in the 30 days preceding the event giving rise to the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify, defend, and hold harmless Reson Tech LLC, its members, officers, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property or privacy rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

We may update these Terms at any time. We will notify registered users via email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
